These Terms of Use ("Terms") govern the use of the website adaptiveask.net and all services provided by AdaptiveAsk. By using the site or engaging our services, you confirm that you have read, understood, and accepted these Terms in their entirety.

2. Acceptance of Terms

By accessing and using the Site, the User confirms that they are at least 18 years old, authorized to accept these Terms on behalf of the legal entity they represent (if applicable), and agrees to all provisions stated in this document. If you do not agree with any part of these Terms, please immediately stop using the Site.

3. Services and Engagement

The Company provides Google Shopping feed optimization services, Google Ads campaign management, and related digital marketing activities for e-commerce companies. The exact scope, deadlines, and price of each service are defined by a separate Service Agreement concluded before the start of work.

The Company reserves the right to refuse to provide services without stating a reason. Sending an inquiry through the site does not constitute a contractual relationship — a contractual relationship arises exclusively by signing a Service Agreement or written confirmation of acceptance of an offer.

4. Prices, Payment, and Invoicing

All prices stated on the site are informative and excluding VAT, except where expressly indicated otherwise. The final price is determined by the Service Agreement. Invoicing is performed from a Serbian legal entity (AdaptiveAsk), and VAT is calculated in accordance with the valid regulations of the RS.

If the User is late with payment, the Company reserves the right to: (a) suspend the provision of services, (b) calculate legal default interest on the amount of debt, and (c) terminate the Service Agreement with a notice period of 7 days. Debt collection costs are borne by the User.

5. Intellectual Property

All content on the Site — including but not limited to: texts, graphics, logos, icons, photographs, audio and video materials, software, and code — is the property of the Company or is licensed from third parties and is protected by copyright laws and industrial property laws of the Republic of Serbia and international conventions.

It is prohibited, without the written approval of the Company, to: copy, reproduce, distribute, publicly display, modify, or create derivative works based on the content of the Site. Sharing links to the Site with a clear indication of the source is allowed.

Materials produced by the Company for the User under a Service Agreement (feed files, reports, configurations) become the property of the User upon full payment. The Company reserves the right to use anonymized results as references, unless otherwise agreed by written agreement.

6. Confidentiality

The Company treats all business information of the User (catalog data, campaigns, income, strategy) as confidential and does not disclose it to third parties without the written consent of the User, except when required by law. At the User's request, the Company is prepared to sign a separate Non-Disclosure Agreement (NDA) before the start of any communication.

7. Warranties and Limitation of Liability

The Company provides services with professional care and in accordance with good industry practice. However, the Company does not guarantee specific business results (ROAS, revenue, number of conversions), as these results depend on factors beyond our control (market conditions, seasonality, User's site quality, advertising budget, competition).

The Company guarantees an improvement in the Feed Completeness Score of at least 15% in the first 30 days of the Growth package. If we do not achieve this, we will refund the setup fee without questions or conditions.

To the maximum extent permitted by law, the Company's total liability on any ground cannot exceed the amount of fees actually paid by the User to the Company in the last 3 months. The Company is not liable for indirect, incidental, special, or consequential damages.

8. Site Availability and Force Majeure

The Company does not guarantee uninterrupted availability of the Site. Temporary interruptions may occur due to technical maintenance, updates, or circumstances beyond our control. The Company is not responsible for damages resulting from Site unavailability.

The Company is not responsible for failure to fulfill obligations caused by force majeure (natural disasters, wars, pandemics, cyber-attacks, power outages, blocks by third-party platforms such as Google).

9. Links to External Sites

The Site may contain links to third-party websites. These links exist solely for the convenience of the User. The Company does not control the content of those sites and does not assume responsibility for their content, privacy policies, or practices. Visiting external sites is at the User's own risk.

10. Termination and Consequences of Termination

The User may terminate the Service Agreement with the notice period stated in that contract (standardly 30 days for monthly services), without penalties, with the obligation to pay for all services already performed. The Company may terminate the contract with immediate effect in case of: delay in payment for more than 15 days, violation of these Terms, or when the User uses our services in a way that is unlawful or harmful to third parties.

Upon termination, the Company is obliged to hand over all documentation and access credentials owned by the User within 7 working days.

11. Changes to the Terms

The Company reserves the right to change these Terms in accordance with changes in business or legislation. The changed Terms take effect upon publication on the Site. For active clients, substantive changes will be communicated via email no later than 30 days before taking effect.

12. Governing Law and Dispute Resolution

These Terms and all contractual relations arising based on them are governed by the law of the Republic of Serbia. For all disputes arising from or in connection with these Terms, the court in Belgrade has territorial jurisdiction. Before court proceedings, the parties undertake to attempt in good faith to resolve the dispute peacefully within 30 days of the dispute's occurrence.
